These Terms and Conditions (“Terms”) govern the use of and transactions conducted through the Space Debris Hub website(s), marketplace, and associated services (collectively, “Space Debris Hub”). By registering as a Member, browsing listings, or participating in any sale or auction on Space Debris Hub, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions
Buyer – The individual or entity purchasing space debris.


Seller – The individual or entity selling space debris.


Space Debris – Any material, component, or item originating from space missions, launches, or orbital environments (including fragments, hardware, or collectibles).


Member – Any registered user authorized to participate in sales, auctions, or listings on Space Debris Hub.

 

2. Scope of Agreement
These Terms govern all transactions involving the purchase and sale of space debris via Space Debris Hub. Additional site policies—such as the Privacy Policy, Website Terms of Service, and Data/Image License Agreement—are incorporated by reference.

3. Inspection and Acceptance
Buyers may inspect debris upon delivery.


Acceptance occurs once the Buyer has inspected and raised no written objections within the period specified in the sale documentation.

 

4. Pricing and Payment
Pricing is agreed upon prior to delivery and includes applicable taxes and fees unless otherwise stated.


Payment terms will be specified on the invoice and are typically due within 30 days of the invoice date.


All amounts are quoted in U.S. Dollars unless specified otherwise.

 

5. Delivery
Delivery terms shall follow mutually agreed-upon conditions and may reference Incoterms (International Commercial Terms).


The Seller is responsible for delivering the debris to the agreed location.


Title and risk of loss transfer to the Buyer upon confirmed delivery and acceptance.

 

6. Compliance with Laws
Both parties must comply with all applicable national and international laws and regulations relating to the handling, storage, sale, and transportation of space debris.

7. Warranty
The Seller warrants that the debris matches its description and accompanying documentation.


Unless explicitly stated, no other warranties—express or implied—apply.

 

8. Limitation of Liability
The Seller’s liability is limited to the amount paid by the Buyer for the specific transaction.


Neither party shall be liable for indirect, incidental, or consequential damages.

 

9. Dispute Resolution
Disputes shall first attempt to be resolved via mediation.


If unresolved, disputes shall be settled through binding arbitration per the rules of a mutually agreed arbitration body.

 

10. Force Majeure
Neither party is liable for delays or failures caused by events beyond their reasonable control, including (but not limited to) natural disasters, war, government regulations, strikes, power outages, or communication failures.

11. Amendments and Modifications
Any changes to these Terms must be made in writing and signed by authorized representatives of both parties.

12. Termination
Either party may terminate the agreement with written notice if the other party materially breaches these Terms and fails to remedy the breach within the agreed timeframe.

13. General Provisions
This document constitutes the entire agreement between the parties.


Governed by the laws of the jurisdiction where the Seller operates, unless otherwise agreed in writing.


All required notices must be in writing and delivered via recognized courier or registered mail.

 

Member Terms and Conditions
A. U.S. Standard Terms and Conditions
These apply to all transactions through Space Debris Hub facilities or auctions located in the United States. By bidding, purchasing, or registering via Space Debris Hub websites, you agree to abide by these Terms.
Bidding Options
Online Bidding – Submit electronic bids via the Space Debris Hub website.


Through a Registered Broker – Bid via a verified broker if direct purchase eligibility does not apply. Transactions occur between the Member and Broker, not Space Debris Hub.


Through a Market Maker – Participate via physical locations of approved Market Makers. Transactions occur between the Member and Market Maker, not Space Debris Hub.


Sealed Bidding – Submit sealed bids on select assets (e.g., insurance or finance company lots).


Buy It Now – Immediately purchase certain items at a fixed price.


Make an Offer – Submit offers for seller consideration (valid for 2 business days).


Live Auction Bidding – Participate in concurrent live/virtual auctions, with bid announcements managed by Space Debris Hub staff.

 

B. Canada Standard Terms and Conditions
These apply to transactions conducted via Space Debris Hub facilities or auctions located in Canada, with similar provisions adapted to Canadian law.

I. Disclaimers
A. Asset Condition and History Disclaimer
Unless otherwise required by applicable law, all assets are sold “AS-IS, WHERE-IS,” with no warranties of any kind—express or implied—including (but not limited to) merchantability, fitness for a particular purpose, or suitability for reuse.
For purposes of these Terms, “Assets” refers to all items listed on Space Debris Hub, including:
Recovered space debris (e.g., orbital fragments, rocket parts, mission components)


Salvaged space hardware or collectibles


Other goods listed in auction or direct-sale categories


Important Notices for Buyers:
Assets may include materials with unknown histories, prior exposure to extreme conditions, or potential hazardous properties (e.g., residual propellant, radiation exposure, sharp fragments).


Asset descriptions, specifications, images, and metadata (“Asset Information”) are provided for convenience only and may not reflect exact condition or completeness.


Buyers are solely responsible for conducting due diligence—including verification of authenticity, safety assessments, and any testing necessary for intended use.


No guarantee is provided regarding presence of identifying markings, serial numbers, or compliance with safety or environmental standards.


Once removed from Space Debris Hub facilities, no claims regarding asset condition will be accepted.

B. Registration and Legal Compliance Disclaimer
Space Debris Hub does not guarantee that any asset can be legally registered, imported, exported, or resold in any jurisdiction. Variations in international treaties (e.g., Outer Space Treaty), customs regulations, and salvage laws may affect marketability. Buyers assume all risks related to compliance.

C. Documentation and Government Records Disclaimer
Space Debris Hub is not responsible for errors or omissions in paperwork or data supplied by third parties (e.g., launch agencies, recovery operators, or government registries).
Certain assets may be subject to national or international reporting requirements (e.g., ITAR, NMVTIS equivalent for aerospace). Buyers are responsible for ensuring compliance with all reporting obligations.

D. Disclosure of Member Information
To comply with applicable law, Space Debris Hub may disclose Member and transaction information when requested by judicial, regulatory, or governmental authorities.

II. Sale Policies
A. Bid Rejection
Space Debris Hub reserves the right to reject or void bids at its sole discretion. In disputes, Space Debris Hub acts as the final arbiter, and its decisions are binding.

B. Sale Cancellation
Space Debris Hub may cancel or postpone a sale at any time, with or without notice, including cases involving fraud, misrepresentation, or discovered defects. In such cases:
Payments received will be refunded or credited to the Member’s account.


Space Debris Hub bears no liability for cancellation beyond refunding amounts paid.

 

C. Minimum Bids & Bid Approval
Assets marked “Needs Approval” or with a Minimum Bid will not be released until seller approval is received.


Sellers have until 8:00 PM (Pacific Time) on the next business day after auction close to approve or reject offers.


Counter Bids may occur in seller-approved auctions; high bids remain binding until seller decision.

 

D. Sealed Bids
Sealed Bid assets remain in seller possession until sale completion.


Inspections may only be conducted via images or Quick Inspect AR tools provided online.

 

Tie bids will be awarded to the first received.


Accepted bids are binding; refusal to complete purchase may result in forfeiture of deposits and suspension from future auctions.

 

E. Asset and Title Release
Space Debris Hub reserves the right to withhold asset release or transfer of documentation until all conditions of sale are met (including payment, compliance verification, and safety clearance).

F. Risk of Loss
Risk of loss passes to the Buyer upon bid acceptance or asset purchase confirmation.


While in Space Debris Hub custody, assets are held as bailee only; Space Debris Hub is not liable for theft, vandalism, or natural disasters unless caused by gross negligence.


Buyers are responsible for safe loading, securing, and transport of assets. Space Debris Hub staff do not assist in loading.

 

G. Offsite Sales
Assets sold from offsite facilities must be picked up at the location indicated in the listing.


Failure to remove within 6 days may result in towing to a Space Debris Hub facility, with towing and storage fees charged to the Buyer.


Assets not collected within 30 days may be deemed abandoned and disposed of per applicable law.

 

H. Timely Removal
Purchased assets must be removed by 3:00 PM local facility time on the agreed removal date. Delays may incur additional storage or handling fees.

Key Buyer Responsibilities
Verify legal eligibility to purchase and possess space debris.


Comply with safety, export, and environmental laws.


Arrange secure and lawful transportation.


Inspect assets promptly upon pickup—post-pickup claims are not accepted.


III. Asset Exports
A. Exporting Purchased Assets
All transactions involving the purchase of assets from Space Debris Hub for transport outside the United States (“Asset Export Transactions”) are governed by U.S. export laws and regulations, including but not limited to:
Foreign Trade Regulations (FTR)


Export Administration Regulations (EAR)


Other applicable U.S. Department of State, Commerce, or Treasury restrictions


Diversion contrary to U.S. law is strictly prohibited.
Member Responsibilities
Do not export, re-export, or permit re-export of purchased assets to any restricted or embargoed country or person/entity listed on U.S. government denied/debarred party lists.


Comply with EAR General Prohibitions (15 CFR Part 736) and determine if export licenses are required.


U.S.-based buyers will be considered the U.S. Principal Party in Interest (USPPI) and are responsible for all export reporting and Electronic Export Information (EEI) filings.


Foreign buyers purchasing assets for export from the U.S. will be treated as Foreign Principal Party in Interest (FPPI) and must authorize a U.S. forwarding agent to file EEI and manage compliance.


Space Debris Hub’s role is limited to providing information necessary for EEI filings and will not act as exporter except in limited routed transactions.

B. Shipping Referral Program
Space Debris Hub may provide referrals to approved international freight forwarders for Members seeking export shipping services. If a Member uses such services:
The forwarder becomes the Authorized Agent for export compliance.


The Member remains responsible for ensuring compliance with Section A.

 

C. Foreign Corrupt Practices Act (FCPA)
Members must comply with the U.S. Foreign Corrupt Practices Act (FCPA), which prohibits offering or paying anything of value to foreign officials, political parties, or candidates to secure business advantages. Violations will result in immediate membership termination and possible legal action.

D. Import Requirements
Members are responsible for all import obligations in the destination country, including:
Acting as Importer of Record


Filing required customs documentation


Paying duties, taxes, and fees


Ensuring compliance with local safety, environmental, or emissions laws


Space Debris Hub assumes no liability for Member non-compliance with foreign import laws.

IV. Members
A. Eligibility
Membership is open to individuals 18 years or older who meet applicable legal and regulatory requirements.


Space Debris Hub may deny or revoke membership privileges at its discretion.

 

B. Biometric Data and Identity Verification
By registering, Members consent to Space Debris Hub’s collection and use of biometric data (e.g., facial geometry) for fraud prevention and identity verification.
Data is retained no longer than 3 years or as required by law.


Data is not sold or shared except with service providers performing verification services.

 

C. Member Types
Registered Guests – Limited account for browsing, watchlists, and alerts (cannot bid or buy).


Full Members – Eligible to bid and purchase after completing identity verification, providing required licenses, and submitting the security deposit ($500 or 5% of intended bid amount, whichever is greater).


Resellers must provide valid resale or export certificates where applicable.

D. Account Security
Members are responsible for all activity under their account credentials. Unauthorized use must be reported immediately. Accounts are non-transferable.

E. Compliance with Law
Members must comply with all applicable laws related to transportation, storage, resale, or dismantling of assets.
Violations (e.g., unpaid fines, improper transport) may result in fines, suspension, or revocation of membership.


Space Debris Hub may pay certain fines on the Member’s behalf and recover costs (up to 150% of the fine amount plus processing fees).

 

F. Facility Rules
Members and visitors must follow facility safety protocols at all times.


Tools, diagnostic equipment, and unauthorized inspections are prohibited.


Theft, tampering, or attempting to start/power assets will result in immediate removal, liability for damages, and criminal prosecution.

 

G. Liability Waiver and Indemnification
Members and visitors waive all claims against Space Debris Hub and its affiliates for injuries, property damage, or losses occurring on Hub facilities or contracted locations.
Members agree to indemnify and hold harmless Space Debris Hub against third-party claims arising from their actions or asset resale.


California residents waive rights under Civil Code §1542.

 

H. Membership Revocation
Space Debris Hub may suspend or terminate membership at any time for violations of these Terms or for conduct deemed harmful to the platform or other Members.

I. Marketing Communications
By registering, Members consent to receive marketing and promotional materials via available communication methods (email, SMS, app notifications, etc.).

V. Fees, Payment, and Deliveries
A. Fees
Buyer and seller fees are disclosed on the asset detail page or within the Member account portal. Fees may change without notice. Members are responsible for reviewing applicable fees prior to bidding.

B. Payment
Wire transfer only; payment confirmation required within 5 business days of sale.


Failure to pay results in loss of deposit and possible asset relisting.


Unpaid balances accrue 1.5% per month finance charge (18% annually) or maximum allowed by law.

 

C. Sales Tax
Members claiming tax exemption must provide valid exemption documentation and indemnify Space Debris Hub against any tax reassessments or penalties.

D. Relist Fees
Failure to complete payment within 5 days allows Space Debris Hub to relist the asset. Member is liable for relist fees (equal to deposit amount) plus any collection and legal costs.

E. Security Deposits
Required for bidding: $500 or 5% of bid amount (whichever is greater).


Deposit refunds are processed upon request if no outstanding fees exist.


Deposits may be applied to unpaid invoices, relist fees, or other charges.

 

F. Payment Application
Payments are applied in this order:
Unpaid fees (registration, storage, relist, etc.)


Asset purchase price


Assets or titles are not released until all amounts are fully paid.
VI. CHOICE OF LAW AND VENUE; ENTIRE AGREEMENT
A. Forum Selection, Venue, Jurisdiction, Choice of Law, and Service of Process
Membership with Space Debris Hub is conditioned upon the following agreements:
Any legal action or proceeding arising directly or indirectly from a bid or purchase transaction must take place in the state/province and county where the asset was located at the time of bidding or purchase. The substantive laws of that jurisdiction will govern the matter.


Example: If a Member bids on or purchases an asset located at a Space Debris Hub facility in Billings, Montana, any related action must be conducted in Yellowstone County, Montana, under Montana law.


Any other legal matters not tied to a bid or purchase must also be conducted in Yellowstone County, Montana, under Montana law.


Members consent to these forum, venue, and jurisdiction provisions and agree to accept service of process via certified or registered mail sent to the last address provided to Space Debris Hub.


This section overrides any conflicting venue provisions found in the Space Debris Hub Website Terms of Service regarding disputes tied to asset bidding or purchasing.

 

B. Entire Agreement
These Terms and Conditions represent the entire agreement between the Member and Space Debris Hub regarding membership and related transactions. No representations, warranties, or promises exist outside of what is written herein.

1. Definitions
Buyer: The party purchasing global salvage assets.


Seller: The party selling global salvage assets.


Global Salvage: All materials, equipment, and items retrieved from global environments.

 

2. Scope of Agreement
These terms govern the sale and purchase of salvage assets facilitated by Space Debris Hub.

3. Inspection and Acceptance
Buyers may inspect assets in person (if allowed) or through Quick Inspect AR technology prior to bidding.


Inspections are not permitted after an auction closes.


Acceptance of the asset is automatic at the time of bidding. Failure to complete the transaction results in forfeiture of the deposit and loss of auction privileges.

 

4. Pricing and Payment
All bids are in USD.


Full payment is due within 3 business days of the sale’s close.


If payment is not made within 3 days, Space Debris Hub may sell the asset to the second or third highest bidder.


Payments are accepted via wire transfer only. Exceptions for international wires may be granted in writing by customer service.


Buyer fees vary by location and asset value and are listed on each asset’s detail page.

 

5. Pickup and Possession
After 6 days from the sale date or payment date (whichever comes first), all costs and liabilities shift to the Buyer.


The Buyer is responsible for coordinating storage, logistics, and related services after the sale. Contact information will be provided upon payment.

 

6. Title and Risk of Loss
Title and risk of loss transfer to the Buyer upon delivery and acceptance of the salvage.


Space Debris Hub provides the necessary ownership documents to transfer the asset under U.S. law, unless otherwise stated.

 

7. Compliance with Laws
Both Buyer and Seller agree to comply with all applicable laws and regulations related to the handling, storage, and transportation of Space Debris Hub assets.

8. Warranty
All assets are sold “AS-IS” and “WHERE-IS”, with salvage, total loss, or constructive total loss branding unless otherwise noted.


No warranties are implied unless explicitly stated in writing.

 

9. Dispute Resolution
Disputes must first attempt mediation.


If mediation fails, disputes proceed to binding arbitration under mutually agreed arbitration rules.

 

10. Force Majeure
Neither party is liable for delays or failures caused by factors beyond their control, including natural disasters, strikes, wars, epidemics, or government actions.

11. General Auction Rules
Amendments must be in writing and signed by both parties.


All members must provide a deposit before bidding: $500 or 5% of max bid (whichever is greater, up to $10,000).


Winning bids are binding and non-transferable to other buyers.


Buyers must pay within 5 business days and arrange removal of the asset within 5 days of auction close.


Inspections after sale are prohibited until payment is completed.


All parties viewing assets must sign a release of liability waiver.

 

Space Debris Hub Condition Report & Quick Inspect AR Terms
Use of Condition Reports or Quick Inspect AR implies agreement to these terms.


Reports are for convenience only; Space Debris Hub does not guarantee accuracy or completeness.


Buyers are solely responsible for verifying asset details before bidding.


Reports are provided strictly “AS-IS” and “AS AVAILABLE” without warranty.


Users assume all risk in relying on such reports.


Liability & Indemnification:
Space Debris Hub and its affiliates are not liable for direct or indirect damages, including lost profits or incidental losses, related to use of reports or inspections.


Users agree to indemnify and hold harmless Space Debris Hub against claims arising from reliance on these services.

 

Seller-Specific Terms
2.1 Acceptance of Terms
Sellers must read, understand, and accept the Space Debris Hub Terms before listing assets.


Listing assets implies full acceptance of these terms and financial responsibility for sales conducted via the platform.


2.2 Listing Requirements
Sellers warrant they have authority to sell listed goods, free of liens or claims.


Accurate information must be provided; Space Debris Hub will prepare listings for review before posting.


2.3 Representations and Warranties
Assets must not be fraudulent, stolen, or counterfeit.


Sellers confirm legal ownership and solvency.


2.4 Seller Commission Fee
Space Debris Hub receives a commission (percentage of purchase price) unless otherwise agreed in writing.


2.5 Lien Search Fee
A $100 lien search fee may apply.


2.6 General Fees
Sellers are responsible for all applicable fees and taxes related to sales.


2.7 Power of Attorney
Sellers grant Space Debris Hub limited power of attorney to execute bills of sale as needed.


2.8 Disclaimer
The marketplace is provided “AS-IS” without warranties, express or implied.


2.9 Limitation of Liability
Space Debris Hub is not liable for indirect or consequential damages; total liability is capped at the commission earned from the related listing.


2.10 Indemnification
Sellers must indemnify Space Debris Hub for claims arising from breach, improper use, or legal violations.


2.11 Exclusive Listing
Listings are exclusive to Space Debris Hub for 180 days or until sold.


Sellers cannot bypass Space Debris Hub to complete transactions with leads generated from its platform; doing so incurs a 25% market value penalty.


2.12 Termination, Rescission, and Default
Space Debris Hub may terminate agreements for breach, fraud, legal violations, or safety concerns.


Termination for breach or fraud incurs a 25% market value penalty payable by the Seller.
